Terms of Service

Please read these terms carefully before using our services.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and LyfeLine Technologies ("LyfeLine,"LyfeLine Services","LyfeLine Opus","MyLyfeLine","LyfeLine Nexus" "we," "us," or "our") regarding your access to and use of our emergency response ecosystem, including MyLyfeLine, LyfeLine Opus, LyfeLine Nexus, and all related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age, or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the Services under applicable laws
  • Provide accurate and complete registration information
  • Maintain the security and confidentiality of your account credentials

For MyLyfeLine users under 18, a parent or legal guardian must create and manage the account.

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must register for an account by providing:

  • Valid personal identification information
  • Contact details (phone number, email address)
  • Medical information (optional but recommended for emergency response)
  • Emergency contact information

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information remains accurate and up-to-date

3.3 Account Termination

We reserve the right to suspend or terminate your account if:

  • You violate these Terms
  • You provide false or misleading information
  • Your account is used for fraudulent or illegal activities
  • You abuse or misuse the Services

4. Services Description

4.1 MyLyfeLine

A civilian safety application that:

  • Connects users with nearby emergency responders
  • Shares critical medical information during emergencies
  • Provides real-time location tracking to emergency services
  • Enables communication with emergency contacts

4.2 LyfeLine Opus

A hospital and emergency data management system that:

  • Coordinates patient data between emergency services and hospitals
  • Manages bed availability and resource allocation
  • Provides real-time emergency department status
  • Integrates with hospital information systems

4.3 LyfeLine Nexus

A coordination platform that:

  • Facilitates communication between transport and medical facilities
  • Optimizes emergency vehicle routing
  • Provides pre-arrival patient information to hospitals
  • Tracks emergency response metrics

5. Acceptable Use Policy

5.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree to use the Services solely for emergency response and healthcare coordination purposes.

5.2 Prohibited Conduct

You must not:

  • Make false or frivolous emergency requests
  • Use the Services to harass, abuse, or harm others
  • Impersonate any person or entity
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any systems or data
  • Use automated systems (bots, scrapers) without authorization
  • Reverse engineer, decompile, or disassemble the Services
  • Remove or modify any proprietary notices or labels
  • Transmit viruses, malware, or harmful code
  • Violate any applicable laws or regulations

6. Emergency Services

6.1 Nature of Service

LyfeLine provides a technology platform to connect users with emergency services. We do not directly provide medical care, ambulance services, or emergency response.

6.2 No Guarantee of Availability

While we strive for 24/7 availability, we cannot guarantee:

  • Uninterrupted access to the Services
  • Immediate emergency response
  • Availability of specific emergency service providers
  • Service availability in all geographic locations

6.3 Traditional Emergency Numbers

Our Services complement, but do not replace, traditional emergency numbers (e.g., 999, 911). In critical situations, always call traditional emergency numbers as a backup.

6.4 Response Times

Response times depend on various factors including location, emergency service availability, traffic conditions, and nature of the emergency. We optimize routing but cannot control external factors.

7. Medical Information Disclaimer

Important: LyfeLine is not a healthcare provider. Our Services:

  • Do not constitute medical advice, diagnosis, or treatment
  • Should not replace consultation with qualified healthcare professionals
  • Are not intended for self-diagnosis or self-treatment
  • Cannot be relied upon as a substitute for professional medical judgment

Always seek the advice of your physician or other qualified health provider with any questions regarding a medical condition.

8. Payment Terms

8.1 Subscription Plans

Certain Services require paid subscriptions with the following terms:

  • Subscription fees are billed in advance on a monthly or annual basis
  • Fees are non-refundable except as required by law
  • Subscriptions automatically renew unless canceled
  • We may change fees with 30 days' notice

8.2 Emergency Service Fees

Emergency service providers (ambulances, hospitals) may charge separate fees. These charges are between you and the service provider. LyfeLine is not responsible for third-party service fees.

8.3 Payment Methods

We accept various payment methods processed through secure third-party payment processors. You authorize us to charge your payment method for all fees incurred.

9. Intellectual Property Rights

9.1 LyfeLine's Rights

All intellectual property rights in the Services, including software, trademarks, logos, and content, are owned by LyfeLine Technologies or our licensors. These Terms do not grant you any ownership rights.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. This license terminates upon termination of your account or these Terms.

9.3 User Content

You retain ownership of information you submit to the Services. However, by submitting content, you grant us a worldwide, royalty-free license to use, store, and process your information as necessary to provide the Services.

10. Privacy and Data Protection

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

11. Disclaimers and Limitations of Liability

11.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Services will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy, reliability, or completeness of content
  • Warranties that the Services will meet your requirements or expectations

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYFELINE SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Delays or failures in emergency response
  • Actions or omissions of third-party emergency service providers
  • Unavailability of the Services due to technical issues, network problems, or force majeure

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR KES 10,000, WHICHEVER IS GREATER.

11.3 Exceptions

Some jurisdictions do not allow limitations on implied warranties or exclusions of liability. In such cases, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless LyfeLine Technologies, its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your violation of applicable laws or regulations
  • Any content you submit to the Services

13. Third-Party Services and Links

Our Services may integrate with or contain links to third-party services, websites, or applications. We are not responsible for:

  • The availability, accuracy, or content of third-party services
  • Third-party terms of service or privacy policies
  • Any damages resulting from your use of third-party services

Your use of third-party services is at your own risk and subject to their terms and conditions.

14. Modifications to Services and Terms

14.1 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We are not liable for any modification, suspension, or discontinuation.

14.2 Terms Modifications

We may update these Terms periodically. We will notify you of material changes through:

  • Email notification to your registered address
  • In-app notifications
  • Prominent notice on our website

Continued use of the Services after changes constitutes acceptance of the updated Terms.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@lyfelineservices.com to attempt informal resolution of any dispute.

15.2 Governing Law

These Terms are governed by the laws of the Republic of Kenya, without regard to conflict of law principles.

15.3 Jurisdiction

Any disputes arising from these Terms or the Services shall be resolved exclusively in the courts of Kenya, and you consent to the personal jurisdiction of such courts.

15.4 Arbitration

Parties may agree to submit disputes to binding arbitration under the Arbitration Act of Kenya before resorting to litigation.

16. Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including:

  • Natural disasters, pandemics, or public health emergencies
  • War, terrorism, civil unrest, or government actions
  • Telecommunications or internet failures
  • Power outages or infrastructure failures
  • Acts of God or other unforeseeable events

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of LyfeLine.

19. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms to any affiliate or successor entity without your consent.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and LyfeLine regarding the Services and supersede all prior agreements and understandings.
